These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and Raon ("we," "us," or "our").

1. ACCEPTANCE OF TERMS

By accessing our Site, you represent that:

- You have the legal capacity to enter into a binding agreement
- You will use the Site in compliance with these Terms and all applicable laws

We reserve the right to refuse service to anyone for any reason at any time.

2. PRODUCTS AND ORDERS

A. Product Descriptions
We make reasonable efforts to display our products as accurately as possible. However, we do not warrant that product descriptions, colors, images, pricing, or other content are accurate, complete, or current. Product descriptions are provided by our suppliers and may occasionally contain errors. B. Order Acceptance
Placing an order constitutes an offer to purchase. We reserve the right to refuse or cancel any order at any time, including after confirmation, for reasons such as:
- Pricing or product errors
- Suspected fraudulent activity
- Product unavailability
- Shipping restrictions to your location

If your order is cancelled after payment, you will receive a full refund.

C. Pricing
All prices are displayed in U.S. Dollars (USD) and are subject to change without notice. We reserve the right to correct pricing errors at any time. If a pricing error is discovered after your order is placed, we will notify you and give you the option to proceed at the correct price or cancel for a full refund.

Sales tax will be collected where required by law.

D. Payment
We accept payment methods as listed at checkout. By submitting payment information, you authorize us to charge the applicable amount. All transactions are processed through secure third-party payment processors. We do not store full credit card numbers.

3. SHIPPING AND DELIVERY

Raon operates as a dropshipping retailer. Products are sourced from third-party suppliers located outside the United States (primarily in China) and are shipped directly to you from those suppliers.

- Estimated delivery times range from 7 to 25 business days, depending on your location, the supplier, and customs processing times.
- Shipping timeframes are estimates only and are not guaranteed.
- We are not liable for delays caused by customs, carrier issues, weather events, natural disasters, strikes, or other circumstances beyond our reasonable control (Force Majeure).
- Risk of loss and title for items pass to you upon delivery to the carrier.

4. USER CONDUCT AND PROHIBITED ACTIVITIES

You agree not to use this Site to:
- Violate any applicable local, state, national, or international law or regulation
- Transmit any unsolicited or unauthorized advertising or promotional material
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Interfere with or disrupt the integrity or performance of the Site
- Attempt to gain unauthorized access to any portion of the Site or related systems
- Use any automated means (bots, scrapers, crawlers) to collect information from the Site
- Engage in any activity that could damage, disable, overburden, or impair the Site

We reserve the right to terminate your access to the Site for any violation of these Terms.

- WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- WARRANTIES AS TO THE ACCURACY OR COMPLETENESS OF PRODUCT DESCRIPTIONS

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Raon AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM:
- YOUR USE OF OR INABILITY TO USE THE SITE
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
- ERRORS, INACCURACIES, OR OMISSIONS IN PRODUCT DESCRIPTIONS OR PRICING
- SHIPPING DELAYS OR DELIVERY FAILURES CAUSED BY THIRD-PARTY CARRIERS OR SUPPLIERS
- ANY OTHER MATTER RELATING TO THE SITE OR ITS PRODUCTS

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 90 DAYS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

This limitation of liability applies regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise.

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Raon and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your use of the Site
- Your violation of any applicable law or third-party right
- Any content you submit to the Site

9. DISPUTE RESOLUTION — BINDING ARBITRATION AND CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

A. Informal Resolution
Before initiating any formal dispute process, you agree to first contact us at youngstaroffice@gmail.com and attempt to resolve the dispute informally. We will try to resolve the issue within 30 days of receiving your notice.

B. Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Site, or any products purchased from Raon shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in a court of law.

The arbitration shall be conducted:
- In the English language
- In Delaware (or by phone or video conference if both parties agree)
- By a single arbitrator
- In accordance with AAA Consumer Arbitration Rules (available at www.adr.org)

The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

C. Class Action Waiver
YOU AND Raon EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

If this class action waiver is found to be unenforceable, the entire arbitration provision shall be null and void.

D. Exceptions
Notwithstanding the above, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm. Claims arising under intellectual property laws are also excluded from mandatory arbitration.

E. Opt-Out
You may opt out of binding arbitration by sending written notice to youngstaroffice@gmail.com within 30 days of your first use of the Site. Your notice must include your name, address, and a clear statement that you opt out of arbitration. If you opt out, disputes will be resolved in the courts described below.

10. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

For any disputes not subject to arbitration (or if you have opted out), you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

11. MODIFICATIONS TO TERMS

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with a revised "Last Updated" date.

For material changes, we will provide notice by:
- Posting a prominent notice on our homepage, or
- Sending an email notification to customers with active accounts

Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Site.

12. THIRD-PARTY LINKS AND SERVICES

Our Site may contain links to third-party websites or integrate third-party services (e.g., payment processors, social media platforms). We are not responsible for the content, privacy practices, or terms of any third-party websites or services. Accessing third-party links is at your own risk.

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Raon regarding your use of the Site and supersede all prior agreements.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

14. WAIVER

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.
